Rules and regulations for elections to the Board of Governors

Elections to the Board of Governors are held every year for those governors who have come to the end of their term or who have stopped being a governor during the previous year.  Governors are usually elected for three-year terms starting on 1st February, and can be re-elected twice, serving a maximum of nine years.

The trust's Constitution contains the rules for elections and the circumstances under which a person cannot stand as a governor.  These elections are held in accordance with the Department of Health's model rules for elections.

The members will receive a notice informing them of the vacancies available on the Board of Governors.  This notice will also include information on who to contact for a nomination form.  Members can only stand as a governor for the constituency which they are a member of  (ie: staff members can only be staff governors). 

Ballot papers will be sent to all the members within the consituencies where there are contested seats to vote on who should represent them. 

   

Information on the Board of Governors and the role of the governors

The Board of Governors are responsible for representing the interests of our foundation trust members and partner organisations, and for feeding back information to the members who elected or appointed them. 

Governors must act in the best interest of the trust and in accordance with the seven principles of public life, the Nolan Principles: selflessness, integrity, objectivity, accountability, openness, honesty and leadership.

  

The Board of Governors meets four times a year in public and governors should make every effort to attend these meetings.  The Board of Governors have specific statutory duties:

   Appoint or remove the chair and the other non-executive directors
Approve the appointment (by the non-executive directors) of the chief executive
Decide the remuneration and allowances, and other terms and conditions of office, of the non-executive directors
Appoint or remove the trust's external auditors
Be presented with the annual accounts, any report of the auditor on them and the annual report
Provide their views to the Board of Directors when it is preparing the foundation trust's forward planning publications
